Introduction

These General Terms and Conditions of Online Sale (hereinafter “GTC”) govern the contract of sale (hereinafter the “Contract”) for the products (hereinafter the “product” or “products”) offered by Azienda Agricola Adurno Elio, with registered office at Contrada Santa Domenica snc – 85011 Acerenza (PZ), VAT ID 01007580762 – website www.adurnofarm.it (hereinafter the “Website”) to users of the Website (hereinafter the “Customers” or the “Customer”).

The Customer declares that they have read and understood all of the aforementioned information and general terms and conditions of sale before placing an order.

Subject Matter

The purpose of these general terms and conditions of sale is to define the rights and obligations governing the online purchase of products offered in the online store.

Audience

Consumer Customers (B2C): Purchases on the website are reserved exclusively for consumers (B2C), that is, individuals acting for purposes unrelated to their business or professional activities.

Business Customers (B2B): This e-commerce site does not support direct sales to retailers or businesses. Those interested in B2B purchases are invited to contact the company at adurnobiofarm@gmail.com to request a catalog and a customized price list, and at ordini.adurnofarm@gmail.com to place an order.

Buyer's Obligations

The Buyer agrees to pay the price of the purchased item within the timeframes and in the manner specified in these General Terms and Conditions, which the Buyer confirms having carefully reviewed and accepted prior to confirming the purchase.

Order Receipt

Any order confirmation constitutes an irrevocable commitment on the part of the customer, which may be revoked only in the cases provided for in this contract under the sections titled “Right of Withdrawal” and “Order Fulfillment.”

Order Confirmation

The contract will be concluded only upon confirmation of the order by Adurno Farm. The customer will receive an email notification of receipt containing the order confirmation with all the terms of the contract (including the products ordered, prices, delivery dates, and shipping costs).

Adurno Farm reserves the right not to confirm an order for any reason, particularly in the event of a product supply issue or a problem with the order received.

Payment for the goods is an essential part of the purchase contract; failure by the seller to receive payment will result in the cancellation of the purchase contract 15 days after the order is placed.

Adurno Farm cannot be held liable for delivery errors resulting from inaccuracies or omissions in the customer’s completion of the purchase order. Furthermore, it cannot be held liable for any damage to the products occurring after delivery to the carrier responsible for their transport, nor for any delivery delays attributable to said carrier.

As provided for in Article 48 of Legislative Decree 206/05, the general terms and conditions must be read and approved by the customer before the contract is concluded. By submitting the order, the Customer simultaneously declares that he or she has reviewed all the information provided during the purchase process and fully accepts these general terms and conditions of sale.

Product Availability

If a product is displayed on the Website in areas other than those specifically designated for purchasing products, or in any case without the “Add to Cart” icon, it is considered unavailable for sale through the Website.

The offers on this website are valid as long as the listed products remain online and while supplies last. Adurno Farm reserves the right to notify the customer, within 20 days of purchase, via the email address associated with their profile, of the unavailability of one or more of the purchased products.

In the event that a product is no longer available, Adurno Farm will issue a refund (via the payment method the customer used for the purchase) for the price and shipping costs incurred by the customer.

The unavailability of one or more of the ordered products does not, however, entitle the customer to cancel the entire order.

Prices

The published prices are in euros (€). For orders shipped to Italy, prices include VAT. For orders shipped to other countries, the applicable tax treatment will be determined in accordance with current regulations based on the destination country and may result in the application of a different VAT rate or the exemption from VAT. In any case, the final price will be the one indicated on the order confirmation page and in the corresponding confirmation email.

Prices are subject to change at any time without notice, as they are influenced by market conditions. Any changes will not affect orders that have already been confirmed.

Prices do not include any shipping costs, which will be clearly indicated before the order is finalized and summarized in the order confirmation. The customer may review these details before submitting the order and freely decide whether or not to complete the purchase.

The seller will not charge any additional costs beyond those indicated at the time of order confirmation. Any fees applied by the payment card issuer, the customer’s bank, or other payment intermediaries are the responsibility of the customer and are not attributable to the seller.

For shipments to countries outside the European Union, any customs duties, import taxes, or other charges required by the laws of the destination country are the responsibility of the customer, unless otherwise specified.

Payments

Payment can be made in two ways:

Stripe

Credit and debit card payments are processed through the Stripe platform, which ensures high security standards for transaction processing. Payment information is entered directly on the payment processor’s platform and is not processed or stored by the seller in any way. Your card will be charged upon order confirmation.

Bank Transfer

You can also pay for your order via advance bank transfer; the bank details for the transfer will be sent by email at the time of ordering. The transfer description must include the order number. Azienda Agricola Adurno reserves the right to cancel the order if the transfer is not received. If the amount transferred does not match the order total, Azienda Agricola Adurno will contact the customer to agree on how to proceed with fulfilling the order. We recommend keeping a copy of the bank transfer receipt as proof of payment.

Please note that the order will be fulfilled only after payment has been confirmed.

Payment is due at the time of order, and the customer agrees to pay the agreed-upon price for the product ordered on the website (including the price of the products and shipping) using the available payment methods.

If Adurno Farm does not receive payment, it reserves the right to cancel the order.

In the case of payment by credit card or bank transfer, Adurno Farm reserves the right to request, within 24 hours, a copy of an identification document proving ownership of the credit card used and, in the case of a bank transfer, a copy of the payment confirmation; it is understood that, if the requested documents are not provided, Adurno Farm may refuse the payment and cancel the order.

Order Fulfillment

The order will be processed once it has been accepted by Adurno Farm.

In the case of advance payment, the order will be processed upon receipt of payment, subject to the availability of the ordered product and unless otherwise agreed upon by the parties.

If the ordered product is out of stock or unavailable, Adurno Farm undertakes to inform the customer as soon as possible and to specify an estimated date when it will be available again. Please see the article regarding product availability.

Delivery

Delivery is expected within 3–4 business days after payment is verified and, in any case, within 10 business days, barring delays due to order fulfillment or unforeseen circumstances on the part of the carriers. If payment is made by credit card, the order will be processed immediately; however, if payment is made via advance bank transfer, the order will be processed only after our bank confirms receipt of the transfer.

Products will be delivered by courier.

Adurno Farm shall not be held liable for delivery errors resulting from inaccuracies or omissions in the customer’s completion of the purchase order, nor for any damage that may occur to the products after they have been handed over to the carrier responsible for their transport, nor for any delays in delivery attributable to the carrier.

The delivery receipt issued by the carrier, dated and signed by the customer upon delivery of the product, will serve as proof of shipment and delivery of the goods.

Upon delivery of the goods by the courier, the Customer is required to check:

1. that the number of packages being delivered matches the number indicated on the receipt or other document accompanying the goods;

2. The packaging must be intact, undamaged, not wet, and not otherwise altered, including the sealing materials.

   Any damage to the packaging and/or the product, or any discrepancy in the number of packages or the labeling, must be reported immediately by writing “ACCEPTED WITH RESERVATIONS” on the courier’s delivery receipt.

   Once the customer has signed the courier's delivery receipt, they may not raise any objections regarding the external condition of the delivered item.

Any issues regarding the physical condition, the correctness, or the completeness of the products received must be reported within 7 days of delivery, and any hidden damage or defects must be reported in writing by sending an email to adurnobiofarm@gmail.com, providing the information necessary to identify the shipment (customer name, invoice number if applicable, shipment date, and any photographic evidence of damage to the goods). Any reports submitted after the aforementioned deadlines will not be considered.

If the recipient is not present at the time of delivery, the carrier will leave a delivery notice at the delivery address provided by the customer. If the recipient is not present even on the second delivery attempt, the products must be picked up at the address and in the manner specified by the carrier.

If the products are not picked up by the deadline set by the carrier, they will be returned to Adurno Farm, which will refund the purchaser the purchase amount, minus storage and delivery charges for both the outbound and return shipments.

Right of Withdrawal

The customer has the right to cancel the Contract, which means the consumer may return the purchased product and receive a refund for the amount paid.

This right is reserved exclusively for individuals (consumers); therefore, it cannot be exercised by legal entities or by individuals acting for purposes related to any professional activity they may carry out.

To exercise the right of withdrawal, the customer must, no later than fourteen business days from receipt of the product at the address specified for delivery (the date shown on the delivery slip serves as conclusive proof of receipt of the goods), send an email to the following email address: adurnobiofarm@gmail.com, specifying the product(s) for which they intend to exercise the right of withdrawal and attaching a copy of the sales document accompanying the goods.

The customer has the right to cancel the order within 24 hours of receiving the confirmation email by sending an email.

All costs associated with returning products are the responsibility of the customer, who must arrange for delivery to the seller’s warehouse, either directly or through another means. This right applies to the entire product purchased; it is not possible to exercise the right of withdrawal for only part of the purchased product. All items must be returned to the seller in the same condition as when received, namely:

• in their original packaging,

• Packages must be intact (unopened) and must not show any signs of tampering by the customer.

The customer is responsible for the costs of returning the item, and the customer bears the risks associated with shipping the goods until the seller receives them. In the event that the item is damaged during shipping, the seller will notify the customer of the incident to allow the customer to promptly file a claim with the chosen carrier and obtain reimbursement for the value of the item (if insured); in this case, the product will be made available to the customer, and the request for cancellation will be voided.

Once the merchandise arrives at the warehouse, the product will be inspected, and if the inspection is satisfactory, the seller will refund the customer the full amount paid, minus shipping costs, within 14 days of the date on which the seller takes possession of the returned merchandise.

The right of withdrawal is forfeited entirely if the returned product is not in its original condition, namely:

• The original packaging is missing.

• Absence of integral components of the product.

• Damage to the product caused by factors other than shipping.

• Sealed products opened by the consumer.

Complaints

Any complaints must be reported to the email address adurnobiofarm@gmail.com, including the customer's information and the invoice number for the shipment, or any other reasons for the complaint.

Intellectual and Industrial Property

Adurno Farm hereby notifies that the website, all trademarks, and distinctive marks used in connection with the sale of the products offered are protected by applicable intellectual and industrial property rights, and that any reproduction, communication, distribution, publication, alteration, or modification thereof—in any form and for any purpose—is prohibited. The company reserves the right to take legal action to protect these rights.

Privacy

Adurno Farm is authorized to process data for commercial, direct sales, promotional, administrative, and statistical purposes by applying predetermined criteria. At any time, in accordance with Article 13 of Legislative Decree 196/2003, you may access your data, request its modification or deletion, or object to its use free of charge by writing to the data controller as follows: Azienda Agricola Adurno Elio, Contrada Santa Domenica snc, 85011 Acerenza (PZ) or via email: adurnobiofarm@gmail.com

Furthermore, Adurno undertakes to treat the data and information provided by the Customer confidentially, not to use them for purposes other than those for which they were collected, and not to disclose them to third parties, unless required to do so by a court order.

Jurisdiction

B2C Consumers

For any dispute arising out of or relating to this contract, the exclusive jurisdiction for B2C Customers (Consumers) is the court of the consumer’s place of residence or domicile, provided such place is located within the territory of the State.

B2B Customers

For any dispute arising out of or relating to this contract, the Court of Potenza (ITALY) shall have exclusive jurisdiction over B2B customers (companies).
